These Terms of Service (the “Terms”) are a legal agreement between you and Zarcom Inc. (“Zarcom,” “we,” “us,” or “our”), operator of the Zarcall cloud communications platform (“Zarcall” or the “Service”) at https://zarcall.com. They are part of our Legal Center.
1. Acceptance of Terms
By registering for, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, Acceptable Use Policy, SMS Messaging Policy, and E911 Disclaimer, each incorporated by reference. If you use the Service on behalf of an organization, you represent that you are authorized to bind it. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and able to form a binding contract, and you must use the Service for business purposes. The Service is offered for use in the United States and is not directed to jurisdictions where it would be unlawful.
3. Account registration
You must provide accurate, current, and complete information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at info@zarcall.com of any unauthorized use or suspected security breach.
4. Organization accounts
The Service is provided to business organizations. The person or entity that registers an organization is the “Organization Owner” and is responsible for the account and its subscription. Each organization owns and controls its own communications data, including Call Detail Records, messages, faxes, voicemail, and call recordings, as described in our Privacy Policy. We claim no ownership of your communications content.
5. Team members, extensions, and administrators
The Organization Owner and designated administrators may invite team members and assign extensions, roles, and permissions. Organization administrators are responsible for managing their users, extensions, permissions, and access to call recordings and message history. The organization is responsible for its team members’ use of the Service. Extensions and users may be subject to the limits of your plan; adding extensions may change your fees.
6. Call recording consent
Call recordings belong to the customer that enabled them. Recording is enabled at the customer’s discretion. California and many jurisdictions require notice or consent before recording. You are solely responsible for obtaining any legally required consent before recording any call and for using recordings lawfully.
7. Subscriptions and billing
The Service is offered on a subscription basis. Pricing starts at $20 per extension per month, plus any add-ons, usage-based charges, and custom configurations quoted to you. Fees are billed in advance for each billing cycle to the payment method on file, and you authorize us and our payment provider to charge it for all fees as they become due. If a charge fails, we may retry and may suspend the Service until payment is received.
8. Automatic renewal
Subscriptions automatically renew at the end of each billing cycle (monthly, unless otherwise stated) at the then-current rate until you cancel. By subscribing, you authorize these recurring charges. You may cancel automatic renewal at any time as described in Section 11. We will provide any notices required by California’s automatic-renewal law.
9. Taxes and fees
Prices are exclusive of taxes and regulatory or telecommunications fees. You are responsible for all applicable sales, use, excise, 911, universal-service, and similar taxes and fees, which we may collect and remit as required by law. If you are tax-exempt, you must provide valid documentation.
10. Refund policy
Except where required by law, fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused service, or add-ons. Usage-based charges already incurred remain payable. If you believe you were billed in error, contact us within 30 days and we will review the charge in good faith.
11. Cancellation
The Service is month-to-month with no long-term contract unless a separate written agreement provides otherwise. You may cancel at any time through your account or by contacting info@zarcall.com. Cancellation stops future renewals and takes effect at the end of the current billing cycle; you retain access until then. Port out any numbers you wish to keep before your account closes.
12. Customer responsibilities and telecommunications compliance
You are responsible for your use of the Service and for compliance with our Acceptable Use Policy and SMS Messaging Policy. You are responsible for complying with all applicable local, state, federal, and international telecommunications laws, including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, Do-Not-Call rules, CAN-SPAM, and messaging (A2P / 10DLC) requirements, and for obtaining any consents required to contact the people you communicate with. SMS delivery depends on upstream carriers, and voice quality depends on your Internet connectivity, equipment, and location.
13. Acceptable use
You must comply with our Acceptable Use Policy, which prohibits spam, unlawful robocalling and telemarketing, fraud, phishing, caller-ID spoofing, harassment, network abuse, unauthorized access, and similar activity. That policy is incorporated into these Terms.
14. Suspension
We may suspend your access, immediately and without prior notice, if we reasonably believe you have violated these Terms or the Acceptable Use Policy, engaged in fraud, abuse, or illegal activity, created security or legal risk, or failed to pay. We may also block or remove traffic that appears fraudulent, abusive, or unlawful.
15. Account termination
Either party may terminate month-to-month service on thirty (30) days’ notice. We may terminate immediately for the reasons described in Section 14 or for repeated or serious violations. Upon termination, your right to use the Service ends and, after any legally required retention period, we delete or de-identify your data. Sections 4, 10, 16, and 18 through 22 survive termination.
16. Intellectual property
The Service, including the Zarcall software, website, portal, and the “Zarcall” name, logos, and branding, is owned by Zarcom Inc. and protected by intellectual-property laws. We grant you a limited, revocable, non-transferable, non-exclusive license to use the Service for your internal business use during your subscription. You may not copy, modify, resell, sublicense, reverse engineer, or create derivative works from the Service except as permitted by law. You retain all rights to your own communications data.
17. Service availability
We work to keep the Service available, but it may be interrupted for maintenance, updates, or events outside our control. Voice, SMS/MMS, and fax services depend on upstream telecommunications providers and public networks that are outside our control, and service quality may vary depending on your Internet connectivity, equipment, and location. Emergency calling is subject to important limitations described in our E911 Disclaimer. We do not guarantee any specific uptime unless stated in a separate written service-level agreement signed by us.
18. Warranty disclaimer
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranty that the Service will be uninterrupted, error-free, secure, or timely, or that any defect will be corrected.
19. Limitation of liability
To the fullest extent permitted by law: (a) Zarcom and its owners, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, arising from or relating to the Service, even if advised of the possibility; and (b) our total aggregate liability for all claims relating to the Service will not exceed the amount you paid us for the Service in the three (3) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
20. Indemnification
You will defend, indemnify, and hold harmless Zarcom and its owners, officers, and employees from any claims, damages, liabilities, costs, and reasonable attorneys’ fees arising from your use of the Service, your content or communications, your violation of these Terms or any law (including telecommunications laws), or your infringement of any third-party right.
21. Governing law and dispute resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, on an individual basis, in Los Angeles County, California. You and Zarcom each waive any right to a jury trial and any right to participate in a class or representative action. If a claim proceeds in court, the exclusive venue will be the state and federal courts in Los Angeles County, California.
22. General
These Terms, with the policies incorporated by reference and any signed order, are the entire agreement between you and us regarding the Service and supersede prior discussions. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them. We may update these Terms; material changes will be posted here with an updated date, and continued use after they take effect constitutes acceptance.
